1. Acceptance of Terms
By accessing or using the services provided by QFT Software Solutions ("Company", "we", "us"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services or website.
2. Services
QFT Software Solutions provides software maintenance, development, web development, mobile application development, IT consulting, and related technology services. The specific scope, deliverables, timelines, and fees for each engagement will be defined in a separate written agreement or proposal.
3. Client Obligations
To enable us to deliver our services effectively, clients agree to:
- Provide accurate and complete information required for the project
- Grant timely access to systems, data, or personnel as needed
- Review and provide feedback within agreed timelines
- Make payments in accordance with the agreed schedule
- Comply with all applicable laws and regulations
4. Payment Terms
Payment terms, amounts, and schedules will be specified in individual project agreements. Unless otherwise agreed:
- A deposit may be required before project commencement
- Invoices are due within the period specified in the agreement
- Late payments may incur additional charges
- We reserve the right to suspend services for non-payment
5. Intellectual Property
Upon full payment, clients receive ownership of the custom software and deliverables created specifically for them under a project agreement, unless otherwise specified. We retain ownership of pre-existing tools, libraries, frameworks, and methodologies used during development.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of engagement. This obligation survives the termination of services.
7. Limitation of Liability
To the maximum extent permitted by applicable law, QFT Software Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services, including loss of data, revenue, or business opportunities.
Our total liability for any claim shall not exceed the total fees paid by the client for the specific service giving rise to the claim in the 3 months preceding the claim.
8. Warranty and Support
We warrant that our work will be performed in a professional manner consistent with industry standards. Bug fixes and defect correction during the warranty period (as defined in individual agreements) will be addressed at no additional cost. This warranty does not cover issues caused by client modifications, third-party software changes, or misuse.
9. Termination
Either party may terminate a service agreement with written notice as specified in the individual agreement. Upon termination:
- The client shall pay for all work completed to date
- We will provide all deliverables completed up to the termination date
- Access credentials and materials will be returned upon full payment
10. Governing Law
These Terms and Conditions shall be governed by the laws of India. Any disputes arising from or in connection with these terms shall be subject to the jurisdiction of the courts in Karnataka, India.
11. Modifications
We reserve the right to modify these Terms and Conditions at any time. Updated terms will be posted on this page. Continued use of our services after changes constitutes acceptance of the revised terms.
